Federal Tax Controversy & Litigation

The main focus of our practice is representing individuals and businesses in federal tax controversy matters. Our firm actively assists our clients and their accountants in resolving tax issues through all levels of review, from initial audit to appeals and litigation. Our attorneys are experienced tax specialists at resolving all manner of federal tax problems. We handle all phases of federal controversy, including:

In IRS collection cases, we handle all phases, including Installment Payment Agreements, penalty abatement requests, uncollectable status. Offer-in Compensation, Innocent Spouse Relief, and tax-related bankruptcies. We also handle all phases of criminal tax matters involving Title 26, Title 18, and Title 31 offenses.

State Tax Controversy & Litigation

We also handle state tax issues arising in Florida and throughout the United States. These issues involve state income tax, Sales and Use Tax, Florida workers’ compensation audits and lawsuits, and Florida unemployment compensation matters. Should a corporation or other business entity be audited, we handle both the audit and the appeal, if necessary. We also handle Florida criminal state matters involving solely Sales and Use Tax issues.

Estate & Personal Tax Planning

Estate planning has now evolved into much more than avoiding taxes and wealth preservation. While we are experienced tax attorneys and specialists in the area of estate taxes, recent statistics show that less than one-half percent of American estates will be taxable at the federal level. This does not mean, however, that only the uber rich need an effective estate plan. Because we are living longer than ever, much of “estate planning” has become later life planning. Without the proper documents, instructions, and mechanisms in place, your retirement and late life care may be in jeopardy and your legacy at risk. At Johnson and Johnson, P.A., out attorneys have a wealth of expert experience and knowledge in all manner of estate planning techniques, but we also offer a pragmatic comment sense approach to your elder care needs, wealth preservation and lifetime death transfers.

Probate & Guardianship

While it is true that most aspects of estate planning should be handled outside of probate, there are still some important benefits to probate administration; and it should be evaluated and considered in your personalized estate4 plan. Probate provides a conclusive bar on all future and potential claims against an estate once administration is concluded. Furthermore, it provides a formal judicial setting in which all disputes relating to the stated can be resolved. We recognize the importance of probate administration when it is necessary, and out attorneys are equipped to handle the sensitive and often stressful task of administering a probate estate. Our firm handles all types of probate administration, i.e., formal administration, summary administration, ancillary administration, and any time of probate related litigation. Business & Corporate Law

A significant portion of our practice is devoted to general corporate and tax planning. This also involves other business entities such as limited liability companies, S corporations, limited partnerships and the like. Our work ranges from the basic incorporation of a new business, annual minutes, by-laws, and buy-sell agreements, through sophisticated transactions such as Section 351 spin-offs, corporate reorganizations, corporate mergers and acquisitions, and liquidations. Our tax experience and specialization provide us with a unique insight into business transactions. We are able to provide affordable, tax-optimized representation to businesses and organizations throughout the State of Florida.

Civil Litigation, State & Federal

Most of our civil litigation is in the federal court system, involving Internal Revenue Service controversies. We do, however, handle Florida Department of Revenue tax matters and ; for our existing clients, we handle non-complex business and civil litigation. As a general rule, we do not accept most non-tax litigation cases from third parties who are no already pre0existing clients or affiliated with a client.

Bankruptcy/Creditor Work-Outs

The majority of our bankruptcy work is Internal Revenue Service related. Keith H. Johnson, Esquire handled bankruptcy matters while an Internal Revenue Service attorney with Office of Chief Counsel and was also appointed Special U.S. Attorney assigned of the Department of Justice to handle tax matters on its behalf in the Bankruptcy Court for the Middle Judicial District of Florida, Jacksonville Division. Through unique insider experience, the firm has acquired a certain expertise involving the disagreeability of taxes through bankruptcy. Due to the firm’s practice involving Internal Revenue Service, out attorneys and staff have acquired a vast knowledge and expertise dealing with general creditor matters and they are more than equipped to handle all forms of bankruptcies, including Chapter 7 liquidations, Chapter 13 reorganizations and even Chapter 11 reorganizations for higher income individuals and small businesses.


The firm also handles general creditor work-out matters both for individuals and small businesses. When an operating business fails or is in trouble, there are usually significant creditor problems, which must be expertly navigated and evaluated to maximize the protection and preservation of what wealth may remain.

Tax Return Preparation

As a part of our general tax practice, the firm prepares a substantial number of personal, estate, fiduciary, and business entity tax returns each year. These range from the very simple to the extremely complex. Our attorneys, CPAs, and in-house staff routinely prepare the necessary returns for persons or businesses who have not filed returns for multiple years, for those persons who feels as though a special expertise or a high level of competence is required, and for those clients who prefer both their legal and tax services to be handled by one firm.
